The Board of Directors of the Swiss Financial Market Supervisory Authority FINMA has appointed Joris Gröflin to the Swiss Takeover Board with effect from 1 January 2027.
The ultimate supervision of the Takeover Board and the election of its members is the responsibility of FINMA’s Board of Directors. At its last meeting, the Board of Directors elected Joris Gröflin as a new member of the Swiss Takeover Board with effect from 1 January 2027. He will succeed Beat Fellmann, who will step down from the body at the end of 2026 due to the maximum term of office having been extended by one year.
Joris Gröflin has been Chief Financial Officer, Partner and a member of the Executive Team at Partners Group since early 2024. He was previously Chief Financial Officer and a member of the Executive Board at Axpo Holding AG. Prior to that, he held senior management positions at Rieter Holding AG, where he served as Chief Financial Officer and a member of the Group Executive Board. At the start of his career, Joris Gröflin held various roles at Kearney.
Beat Fellmann to step down from the Takeover Board at the end of 2026
Beat Fellmann, a member of the Swiss Takeover Board since 1 January 2014, will step down from the body at the end of 2026, due to the maximum term of office having been extended by one year. FINMA’s Board of Directors would like to thank Beat Fellmann for his commitment and contribution to the Swiss takeover regime over the past 13 years.
Composition of the Takeover Board from 1 January 2027
Joris Gröflin has been appointed for the remainder of the term of office, which expires at the end of 2027. The Takeover Board shall thus be composed as follows from 1 January 2027:

Responsibilities of the Takeover Board
The Swiss Takeover Board ensures compliance with the provisions applicable to public takeover offers and has jurisdiction to issue general rules. It issues first-instance rulings on the execution of public takeover bids. FINMA’s Board of Directors is charged with the ultimate supervision of the Swiss Takeover Board. The members of the Swiss Takeover Board include experts representing securities firms, listed companies and investors.
