Asset Managers of Collective Investment Schemes

Asset managers of Swiss collective investment schemes registered or domiciled in Switzerland require authorization from FINMA (Art. 13 para. 2 let. f CISA). Anyone who carries out that activity without a licence is liable to prosecution as laid down in Article 44 FINMASA. Moreover, FINMA can order that an asset manager's business activities be dissolved (Art. 135 CISA).

Asset managers of foreign collective investment schemes (Art. 119 et seq. CISA) may apply for a licence if they are registered or domiciled in Switzerland, they are subject to supervision under foreign law and the foreign collective investment schemes they manage are subject to supervision of an equivalent standard as that required in Switzerland (Art. 13 para. 4 CISA).

When applying for a licence, the applicant must provide proof of fulfilling all the licensing requirements (or being able to fulfil them once a licence has been issued) prescribed in the Collective Investment Schemes Act and Anti-Money Laundering Act.

Authorized asset managers of collective investment schemes are required to comply with the conditions specified in the licence on a permanent basis. Any changes in circumstances must be reported to FINMA for approval prior to continuing the business activity (Art. 16 CISA).

Authorized asset managers of collective investments schemes applying for approval of a change in circumstances must describe and indicate the nature of the change in circumstances, outline the reasons and include the relevant documents.

Applications are to be made in one of Switzerland's main official languages (German, French or Italian) and must be signed by the applicant. Applications filed by the applicant’s legal representative must be signed by said person; a copy of the document granting power of attorney must also be included.

FINMA can only process formally complete applications. If necessary, the applicant may be requested to submit further information or documents.
